This Investor Charter is intended to provide investors with a clear understanding of the services provided by Finuture Technologies Private Limited ("Finuture" / "FOLO"), investor rights and responsibilities, and the grievance redressal mechanism.

This Charter should be read together with the applicable Terms of Service, Privacy Policy, fee disclosures and other applicable documents.

A. Vision & Mission

Empowering investors through unified financial visibility, data control and objective financial intelligence.

Mission
To help investors consolidate their financial information, understand their overall financial position and make informed financial decisions through transparent, data-driven insights.

B. Details of Business Transacted by Finuture with Investors

Finuture operates the FOLO platform, which enables investors to consolidate and understand information relating to their financial assets, liabilities and investments through consent-based data sources.

Finuture's services may include financial data aggregation, financial visibility, portfolio analytics, financial insights and, where separately subscribed to and provided in accordance with applicable SEBI requirements, investment advisory services.

1. Consent-Based Financial Data Aggregation

FOLO enables investors to connect financial accounts through consent-based mechanisms, including RBI-regulated Account Aggregators and other authorised or credible data sources, as applicable.

The investor remains in control of the financial accounts and data sources connected to FOLO and may manage or withdraw applicable data permissions through the relevant consent mechanism.

FOLO does not ask investors to share their internet banking passwords, trading passwords, PINs or other confidential authentication credentials.

2. Financial Visibility & Portfolio Analytics

Based on information successfully received from connected data sources, FOLO may provide consolidated information and analytics relating to:

  • Net worth
  • Assets and liabilities
  • Asset allocation
  • Investment allocation
  • Sector allocation
  • Market-cap allocation
  • Portfolio concentration
  • Portfolio overlap
  • Liquidity and maturity information
  • Insurance and protection
  • Other portfolio and financial observations

The availability, completeness and timeliness of such information depend on the underlying financial institution, Account Aggregator, market-data provider or other data source.

FOLO does not represent that the information displayed on the platform will always be complete, current or error-free.

3. Investment Advisory Services

Where an investor separately avails regulated investment advisory services from Finuture, such services will be provided in accordance with applicable SEBI requirements.

Finuture will conduct the applicable risk profiling and suitability assessment before providing personalised investment advice.

FOLO's financial aggregation, portfolio analytics, educational information and general financial observations, by themselves, do not constitute personalised investment advice.

Accordingly, users who have not completed the applicable advisory onboarding, risk-profiling and suitability process should not treat FOLO's general analytics or observations as personalised investment advice.

4. Client Agreement

For regulated investment advisory services, Finuture will enter into the applicable Investment Advisory Agreement with the client covering, among other matters:

  • Scope of advisory services
  • Fees and applicable charges
  • Terms and conditions
  • Conflict-of-interest disclosures
  • Confidentiality
  • Termination provisions
  • Applicable rights and responsibilities

No investment advice will be provided and no advisory fee will be charged until the applicable advisory agreement has been completed in accordance with regulatory requirements.

C. Standards & Commitments

Finuture is committed to the following standards in its regulated investment advisory activities:

Unbiased Risk Profiling & Suitability
Investment advice will be provided only after the applicable risk profiling and suitability assessment has been completed. Advice will be based on the client's relevant financial circumstances, investment objectives, risk profile and suitability requirements.

Transparency
Finuture will provide appropriate disclosures regarding its business, applicable fees, affiliations, conflicts of interest and other material information required under applicable regulations.

Confidentiality
Finuture will maintain confidentiality of investor information and will disclose such information only where required by law, regulation, contractual obligations or with the investor's specific consent.

Data Security
Finuture maintains appropriate technical and organisational safeguards for the protection of financial and personal information.

Qualified Personnel
Investment advisory services will be provided through appropriately qualified and certified personnel in accordance with applicable regulatory requirements.

Records
Finuture will maintain appropriate records of advisory-related communications, transactions and other information as required under applicable regulations.

Annual Compliance & Audit
Finuture will undertake applicable compliance and audit requirements prescribed for SEBI-registered Investment Advisers.

Fair Treatment
Finuture will treat investors fairly and without discrimination among clients availing the same or similar advisory services.

Conflict Management
Finuture will identify, manage and disclose applicable conflicts of interest relating to its investment advisory activities in accordance with regulatory requirements.

Artificial Intelligence & Technology Disclosure
Where artificial intelligence, machine learning or automated analytical tools are used in providing regulated investment advisory services, the applicable extent of such use will be disclosed to clients as required under the applicable regulatory framework.

D. Important Limitations & Disclosures

FOLO's consolidated financial information is dependent on information received from external financial institutions, Account Aggregators, market-data providers and other data sources. Accordingly:

  • Data may be delayed, incomplete or temporarily unavailable.
  • Some financial accounts or asset classes may not be supported by the relevant data source.
  • Values displayed on FOLO may change as underlying data is refreshed.
  • Market-linked values are subject to market movements.
  • Historical information or portfolio analytics should not be interpreted as a guarantee of future performance.
  • No investment return or investment outcome is guaranteed.
  • FOLO does not guarantee that any particular investment strategy or recommendation will achieve a particular result.

Investors should independently evaluate the risks, liquidity, costs and suitability of an investment before making an investment decision.

E. Rights of Investors

Investors have the following rights:

  • Right to Privacy & Confidentiality: To expect appropriate protection of personal and financial information in accordance with applicable law and Finuture's privacy and security practices.
  • Right to Transparent Practices: To receive clear information regarding the nature, scope and applicable fees of services.
  • Right to Fair & Equitable Treatment: To receive fair and non-discriminatory treatment.
  • Right to Adequate Information: To receive material information required to make informed decisions regarding the services being provided.
  • Right to Regulatory Disclosure: To receive information regarding applicable regulatory status, registration details, statutory disclosures and grievance mechanisms.
  • Right to Fair & True Communication: To receive communications that are accurate, clear and not misleading.
  • Right to Information on Service Timelines: To be informed of applicable service parameters and timelines.
  • Right to Grievance Redressal: To raise complaints and receive timely redressal in accordance with applicable regulatory timelines.
  • Right to Suitability: Where regulated investment advice is provided, to receive advice based on the applicable risk profile and suitability assessment.
  • Right to Exit: To discontinue the applicable advisory service in accordance with the terms of the relevant agreement.
  • Right to Feedback: To provide feedback regarding the financial products and services received.
  • Right to Protection from Unfair Terms: To not be bound by any contractual provision that contravenes applicable regulatory requirements.

F. Investor Responsibilities

Do's

  1. Verify Registration: Deal only with a SEBI-registered Investment Adviser for regulated investment advisory services and verify the validity of the registration.
  2. Check Registration Details: Verify the SEBI registration number and other regulatory details before subscribing to advisory services.
  3. Understand the Service: Understand whether a particular FOLO service is financial data aggregation, portfolio analytics, educational information or regulated investment advice.
  4. Complete Risk Profiling: Before accepting personalised investment advice, ensure that the applicable risk profiling and suitability process has been completed.
  5. Read the Agreement: Carefully read the Investment Advisory Agreement, fees, terms, disclosures and applicable advisory plan before subscribing.
  6. Pay Fees Through Official Channels: Pay advisory fees only through authorised banking channels or the applicable centralised fee-collection mechanism, where available.
  7. Verify Your Data: Periodically review connected accounts and financial information displayed on FOLO and notify us of material discrepancies.
  8. Ask Questions: Ask questions and seek clarification from Finuture before acting on investment advice.
  9. Assess Risk: Consider the risk, return, liquidity, costs and other relevant characteristics of an investment before investing.
  10. Stay Vigilant: Use only official FOLO / Finuture communication channels and report suspicious communications or activity.

Don'ts

  1. Do Not Transfer Investment Funds: Do not transfer funds intended for investment to Finuture or any person claiming to invest money on your behalf.
  2. Do Not Share Passwords: Never share your bank, trading or demat passwords, PINs, OTPs or other confidential login credentials with Finuture or anyone claiming to represent it.
  3. Do Not Rely on Unverified Tips: Do not rely on stock tips, investment calls or market rumours from unofficial sources claiming to represent Finuture.
  4. Do Not Rely on Guaranteed Returns: Do not act on any representation promising assured, guaranteed, fixed or exorbitant returns.
  5. Do Not Invest Under Pressure: Do not make investment decisions solely because of repeated calls, messages, limited-period offers, incentives or other pressure.
  6. Do Not Ignore Suitability: Do not invest in products that do not match your financial circumstances, investment objectives or risk appetite.

G. Grievance Redressal Mechanism

Finuture is committed to addressing investor complaints in a fair and timely manner.

Stage 1: Finuture

Investors may raise a complaint through:

Finuture will strive to resolve complaints promptly and, in accordance with the applicable SEBI framework, within 21 calendar days of receipt.

Stage 2: SCORES / IAASB

If the investor is not satisfied with the resolution, or the complaint remains unresolved within the applicable timeline, the investor may approach SEBI's SCORES 2.0 platform.

Complaints against Investment Advisers are subject to the applicable review mechanism involving the designated Investment Adviser Administration and Supervisory Body (IAASB) and SEBI. Investors may also approach the designated IAASB through its applicable grievance mechanism.

Stage 3: SMART ODR

If the investor remains dissatisfied, the investor may use the SMART Online Dispute Resolution (ODR) Platform for online conciliation or arbitration, as applicable.
